Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you ("Client") and Design Solution Ltd ("Studio", "we", "us"). By commissioning a project, submitting an inquiry, or completing an invoice for our digital art, VTuber model, branding, or streaming asset services, you acknowledge that you have read, understood, and agreed to these terms.

Each project tier includes reasonable milestone revisions during the sketch and color phases. Minor adjustments are made at no extra charge to ensure artistic alignment. Major structural changes requested after a milestone has been approved by the client may incur an additional revision fee based on the time required.

4. Pricing, Invoicing & Buyer Protection

All pricing quotes are confirmed in writing prior to work commencing. Payments are made through official invoices with standard client buyer protection:

• We accept payments through verified, secure payment processors (including Stripe, Debit/Credit Cards, and PayPal).
• Projects may follow a 50% initial milestone deposit and 50% final milestone upon approved preview, or an agreed milestone breakdown for larger scopes.
• There are no unexpected charges or hidden fees. Any scope expansion is quoted and approved in writing beforehand.

5. Intellectual Property & Commercial Rights

• Commercial Rights: Upon receipt of full payment, the client is granted full commercial usage rights for streaming, merchandise, monetization, and brand distribution as outlined in their project invoice.
• Portfolio Display: Design Solution Ltd reserves the right to include watermarked images or video previews in our professional portfolio and social showcase, unless a Non-Disclosure Agreement (NDA) or launch embargo has been agreed.

6. Cancellation & Refund Policy

We stand behind our craftsmanship and provide transparent refund safeguards:

• If the client cancels before work begins, a full 100% refund of any deposit is issued.
• If cancellation occurs during the initial concept/sketch phase, refund is prorated based on work completed to date.
• Once final deliverables or export-ready Live2D/3D model files are approved and transferred, the commission is considered successfully fulfilled.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
